Account and service terms
Scope and contracting party
These terms apply between nexroom ("nexroom"), and the legal person or sole trader that creates or uses a customer organisation (the "Customer"). The service is offered only for business use, not to consumers.
A person who registers the Customer, accepts terms or orders a service represents that they are authorised to bind the Customer. A user does not become the contracting party merely by receiving an account. These terms apply together with an accepted quote, order confirmation or other master agreement. A specific written agreement prevails in the event of conflict.
Accounts, roles and security
Users are responsible for accurate registration details, protecting sign-in credentials and acting within their assigned role. Organisation administrators may manage membership and access according to the product's actual authorisation model.
Acceptable use
The Customer may use the service for its internal planning, documentation and procurement of meeting-room solutions. The Customer must not use the service unlawfully, infringe third-party rights, circumvent access controls, distribute malicious code, disrupt the service, attempt unauthorised access or test security outside a scope approved in writing. Responsible reporting of a discovered vulnerability is permitted.
Customer content and licence
The Customer retains its rights in measurements, drawings, images and other material entered by the Customer. The Customer grants nexroom a non-exclusive, time-limited right to store, copy, process and display that material only to the extent required to provide, secure and support the service and carry out the Customer's instructions.
The Customer is responsible for having the right to use the material and for ensuring that it does not contain unlawful content, unnecessary personal data, special-category data or third-party confidential information without a lawful basis. The Customer must use the intended sharing and permission features and assist, on request, in handling unlawful or erroneous material.
nexroom and third-party rights
nexroom and its licensors retain all rights in the service, software, design, document templates, catalogue structure and 3D material. The Customer receives a limited, non-exclusive and non-transferable right to use the service during the contract term. Product names, trade marks, images and product data may belong to their respective manufacturers and may not be reused outside the service's intended B2B materials without a separate right.
Recommendations and visualisations
Room Builder provides planning information based on user input, current catalogue data and versioned rules. Results must be read together with the assumptions and limitations shown in the Design Guide. Final checks of the site, building, electrical work, fire safety, installation and quote must take place in the approved commercial process.
Availability, changes and termination
The service is provided with the availability and support stated in the Customer's order or master agreement. Unless a separate service level agreement has been entered into, no uptime or resolution time is guaranteed. nexroom may maintain, develop and change the service, but will not remove a material paid feature during an ongoing fixed term without objective reason.
The contract term and termination follow the order or master agreement. In the event of a material breach, a party may terminate if the breach is not remedied within 30 days of written notice, or if remedy is not possible. nexroom may immediately restrict access that creates a security risk or unlawful use. The Customer should export available material before closure. Organisation-owned data and commercial evidence may be retained under the privacy policy and law.
Confidentiality, liability, governing law and forum
The parties must protect confidential information and use it only for the agreement. Confidentiality does not apply to information already known without a duty of confidence, made public without breach, independently developed or required to be disclosed by law. Where permitted, the recipient must notify the other party before a compulsory disclosure.
A party is not liable for indirect loss, loss of profit, revenue or savings, or loss of data that could have been avoided through reasonable backup. Each party's aggregate liability in a twelve-month period is limited to the fees paid or payable by the Customer for the service during that period. The limitation does not apply to wilful misconduct or gross negligence, payment obligations, infringement of intellectual property rights, breach of confidentiality or liability that cannot be limited by law.
Swedish law applies without regard to conflict-of-law rules. A dispute must first be addressed through negotiation and then be decided by the Swedish general courts, with Stockholm District Court as the court of first instance. The DPA prevails on data-protection matters and an accepted quote or master agreement prevails on commercial matters.
Liability limitations must not conflict with express commitments, marketing or mandatory law. The order of precedence between a master agreement, DPA, service terms and sales terms must be expressly decided.
